1. Agreement to Terms

These Pre-Order Terms & Conditions (“Terms”) form a binding agreement between [Somnus Lab], Stockholm, Sweden (“Somnus Lab”, “we”, “us”) and the person placing the pre-order (“you”). By clicking “Place Pre-Order” or similar, you accept these Terms and our Privacy Policy.

2. Pre-Order Reservation

2.1 Your pre-order reserves a Somnus Lab Sleep Pad from the first production batch but is not a purchase until the product ships.

2.2 We may cancel a reservation (e.g., suspected fraud); you will receive a prompt refund.

3. Price, Taxes & Payment

3.1 Price and configuration

The price for your pre-order is the amount displayed at checkout for the configuration you select (including model, size, and any accessories) in your local currency. Taxes, shipping, and duties (if any) are calculated at checkout before you complete your order. Once you place a pre-order, your price is locked, even if the standard retail price increases before shipment.

3.2 Pre-order payment options

\nFull Payment Pre-Order: You pay the full product price when you place the order.
\nDeposit Pre-Order: You pay a deposit of $100 USD when you place the order. The remaining balance is charged before shipping.

3.3 Accepted payment methods

We accept the payment methods shown at checkout. Available methods may vary by country and can change from time to time. Payments are processed by our payment partners; by placing a pre-order you authorize us to charge your selected method for amounts due under these Terms.

3.4 Timing of charges

\nFull Payment: The full pre-order price is charged when you place the order. If you cancel before shipment, we will refund 100% to your original payment method.
\nDeposit.A deposit of $100 USD is charged when you place the order. The remaining balance is charged to your selected payment method prior to shipment. You will be notified at least 7 days before this charge. If you cancel before shipment, your deposit and any balance payments are fully refundable.

3.5 Currency and exchange rates

If your card or account is billed in a currency different from the one shown at checkout, your provider’s exchange rate and any applicable fees may apply.

3.6 Pricing corrections

If a clear and obvious pricing error occurs, we may decline or cancel your order, with a prompt full refund, only to the extent permitted by applicable consumer law.

4. Estimated Shipping & Delivery

4.1 Target dispatch: on or before October 31, 2025. All dates are estimates; production or supply-chain issues can cause delays.

4.2 Shipping terms: DDP to US, EU, UK, AU & NZ; elsewhere DAP. Typical transit: 3–10 business days.

5. Delay Notifications & Your Options

If we cannot ship by the latest communicated date we will email you: (a) a revised date or notice of indeterminate delay, and (b) a one-click link to cancel for a full refund. (See country-specific variations in §15.)

6. Cancellation & Refunds (Before Shipment)

Cancel anytime for a 100% refund to the original payment method within 15 business days.

7. Returns After Delivery (Voluntary Policy)

You may return the product within 30 days of delivery for a refund; we provide a prepaid label. Returned items must be in “as-new” condition. Statutory withdrawal or guarantee rights may grant longer or additional remedies – see §15.

8. Warranty & Consumer Guarantees

8.1 We warrant the Sleep Pad against defects in materials and workmanship for 2 years from delivery.

8.2 Our warranty operates alongside, and does not limit, any non-excludable consumer rights in your country (see §15).

9. Limitation of Liability

To the fullest extent permitted by law: total liability shall not exceed the amount you paid; we are not liable for indirect or consequential loss. Nothing in these Terms excludes liability that cannot legally be excluded (e.g., death or personal injury from negligence).

10. Taxes & Import Duties

Prices shown [include/exclude] VAT/GST where indicated at checkout. You are responsible for any taxes or duties not collected by us at purchase.

11. Regulatory & Safety Compliance

The Sleep Pad will carry CE, FCC, UKCA, RCM and other required certifications. Consult a physician before use if you are temperature-insensitive, pregnant, or have implanted medical devices.

12. Intellectual Property

All Somnus Lab trademarks, software and documentation are owned by Somnus Lab and protected by international IP law.

13. Force Majeure

We are not liable for delays caused by events beyond reasonable control (e.g., natural disasters, pandemics, embargoes).

14. Governing Law & Dispute Resolution

These Terms are governed by Swedish law without prejudice to any mandatory consumer protections of your country of residence. Non-exclusive jurisdiction: courts of Stockholm. EU residents may use the EU ODR platform; Australian consumers the ACCC; UK consumers the CTSI.

15. Country-Specific Terms (Override the Core Where Stated)

15.1 United States (US)

Timely shipment rule – We will not accept your pre-order unless we have a reasonable basis to believe we can ship by the date promised, or within 30 days if no date is stated, per FTC Mail, Internet or Telephone Order Rule, 16 CFR Part 435.
If we miss that date: we will offer (i) a revised date, or (ii) immediate refund. Silence = consent only for a delay ≤ 30 days.

15.2 European Union / EEA

14-day statutory withdrawal – You may cancel within 14 days of delivery for any reason, per Directive 2011/83/EU. We refund within 14 days, including the cheapest outbound shipping option.
Delivery default – If no date is agreed, we must deliver within 30 days; else you may terminate for a full refund.
Legal guarantee – Minimum 2-year conformity guarantee; you may choose repair over replacement where feasible under the Right-to-Repair Directive 2024/1799.
Clauses 8 and 9 do not limit your non-waivable EU rights.

15.3 United Kingdom (UK)

Cooling-off period – 14 days from delivery to cancel a distance contract under the Consumer Contracts Regulations 2013.
Delivery default – If no date is agreed, goods must arrive within 30 days; otherwise you may cancel.
Faulty goods – 30-day “short-term right to reject” plus tiered remedies thereafter, per the Consumer Rights Act 2015.

15.4 Australia (AU)

Payment on reasonable grounds – We must not accept payment unless we reasonably believe we can supply on time; otherwise we breach Australian Consumer Law (ACL) §36.
Consumer guarantees – Goods must be of acceptable quality, match description and be fit for purpose. In a major failure, you choose repair, replacement or refund; in a minor failure, we may repair within a reasonable time, else you can reject for a refund.
Delay remedy – If supply within a “reasonable time” fails, you may request a refund.
